TASK 34. Translate the following sample contract clauses into Russian:
Amendments and supplements to this Agreement shall be made in writing and signed by both parties.
This Agreement is to be executed in Russian and English in two copies, one copy for each Party. In case of any inconsistency, the Russian version shall prevail.
This Agreement contains the entire agreement between the parties relating to the subject matter hereof, supersedes any prior understandings or agreements (whether oral or written) between the parties regarding the subject matter. This Agreement may not be amended or modified except in writing as mutually agreed by the parties.
Regardless of the place of execution of this Agreement, this Agreement shall be governed by and construed in accordance with Russian Federation effective law.
Any dispute between the Parties arising out of or in connection with this Agreement shall be resolved by Artbitration Court of the City of Moscow. Apart from this place of jurisdiction, the Bank is also entitled to sue the Surety in any other court of competent jurisdiction, including courts having competent jurisdiction in place where any of the Surety’s branches is domiciled.
Any disputes and disagreements which may arise out of or in connection with the Contract hereof shall be settled through discussions and negotiations. Should the parties fail to settle the dispute through negotiations, the dispute shall be taken to the _______ Intermunicipal Court of the City of Moscow.
All amendments and addenda hereto shall be deemed valid only provided they are made in writing and signed by duly authorized representatives of the Parties hereto.
Neither Party hereto shall be entitled to delegate its rights or obligations specified hereunder to any third Party without prior written consent by the other Party hereto.

All duties, fees, taxes and any other such charges associated with fulfilling obligations hereunder, shall be paid by the Seller on the Seller territory and by the Buyer - on the Buyer territory.
Upon the date hereof, any and all preceeding talks and correspondence pertaining hereto shall become null and void.
This Contract is made up in the Russian language and is available in eight copies, of which two copies are to be held by the Seller and six copies - by the Buyer.

Все Приложения и Дополнения к настоящему Договору являются его неотъемлемой частью, оформляются письменно и подписываются обеими Сторонами.
Любые изменения к настоящему Договору действительны лишь в том случае, если они выполнены в письменной форме и подписаны надлежащими уполномоченными представителями обеих Сторон.
Ни одна из сторон не имеет права без письменного согласия другой стороны раскрывать третьей стороне условия настоящего Договора, за исключением случаев исполнения положений настоящего Договора.
Ни одна из Сторон не вправе передавать свои права и/или обязанности по настоящему Договору третьей стороне без письменного согласия на то другой Стороны настоящего Договора.
Вне зависимости от места подписания настоящего Договора настоящий Договор регулируется и истолковывается в соответствии с действующим законодательством Российской Федерации. Споры между Сторонами по настоящему Договору рассматриваются Арбитражным судом г.Москвы. Помимо данного места подсудности Банк может подавать иски против Поручителя в суды по месту нахождения его филиалов либо в иные компетентные для таких споров суды.
Споры между Сторонами по настоящему Договору рассматриваются Арбитражным судом г.Санкт-Петербурга. Помимо данного места подсудности Заказчик может подавать иски против Исполнителя в суды по месту нахождения его филиалов либо в иные компетентные для разрешения подобных споров суды.

Иные условия, не оговоренные в настоящем Договоре, принимаются в соответствии с применимым законодательством Российской Федерации.
Настоящий Договор составлен в 2 (двух) экземплярах на русском и английском языках, имеющих одинаковую юридическую силу, по одному экземпляру для каждой Стороны. В случае возникновения разногласий при толковании настоящего Договора, текст Договора на русском языке имеет преимущественную силу.
