| 7 Terms and Conditions of Sale | 7. Условия продажи |
| 7.1 ABC shall sell Products to Distributor at prices set by ABC from time to time on a price list to be furnished by ABC to Distributor. All prices are Ex Works, Incoterms 2000, or FOB at named port of export, Incoterms 2000, or FCA, Incoterms 2000. ABC may change its prices on at least 30 days notice by giving Distributor a new price list. Prices for the orders confirmed by ABC can not be changed. Prices for any particular order are those on the price list in effect on the day the order is received by ABC. Basis of delivery is determined in the respective Supply Contract and therefore, the parties will additionally consider the matter of prices in the respective Supply Contract. | 7.1 «ABC» обязуется продавать Товары Дистрибьютору по ценам, периодически устанавливаемым «ABC» в прейскуранте, который «ABC» будет передавать Дистрибьютору. | 7.2 Distributor shall submit all orders for Products in writing. ABC shall not be bound by any term or condition in any purchase order or other document which is inconsistent with or in addition to the terms or conditions herein, and Distributor agrees that any such inconsistent or additional terms are understood to be rejected by ABC. | 7.2 Дистрибьютор обязан направлять все заказы в письменной форме. «ABC» не обязана соблюдать условия какого-либо заказа или иного документа, противоречащие условиям или дополняющие условия настоящего Договора, и Дистрибьютор соглашается с тем, что такие противоречащие или дополняющие условия считаются непринятыми «ABC». |
| 7.3 All orders are subject to acceptance by ABC and ABC will send Distributor a written acknowledgment of accepted orders. ABC may fill an order with a modified product only after the Distributor has been advised and has confirmed acceptance of the modification in writing. | 7.3 Все заказы должны утверждаться «ABC», и «ABC» будет направлять Дистрибьютору письменное подтверждение о принятых заказах. «ABC» может выполнять заказ на измененные товары только после того, как Дистрибьютору сообщено об изменении, и Дистрибьютор согласится с изменениями в письменной форме. |
| 7.4 Unless otherwise agreed to in writing by ABC, orders accepted by ABC shall not be subject to cancellation, change or modification by Distributor. If ABC agrees to cancellation, change or modification, ABC reserves the right to charge Distributor a fee not to exceed ten (10) percent of the price of the canceled or modified order. If more than fifteen (15) percent of any three orders received in any 12-month period are canceled, without ABC’s approval, ABC may thereafter terminate this Agreement upon thirty (30) days’ written notice to Distributor. Notwithstanding the foregoing, if, within three (3) weeks of placing an order, Distributor learns that there will be a delay of more than sixty (60) days from the expected delivery date, Distributor shall have the right to cancel the order within 5 (five) working days upon receipt of such notification from ABC. | 7.4 Если «ABC» не согласится на иное в письменной форме, заказы, принятые «ABC», не подлежат аннулированию, изменению или модификациям со стороны Дистрибьютора. Если «ABC» согласится на аннулирование, изменение или модификацию, «ABC» оставляет за собой право взимать с Дистрибьютора неустойку в размере не более десяти (10) процентов цены отмененного или измененного заказа. Если будет отменено более пятнадцати (15) процентов любых трех заказов, полученных в течение 12-месячного периода, без согласия «ABC», «ABC» вправе будет расторгнуть настоящий Договор, направив Дистрибьютору письменное уведомление не менее чем за тридцать (30) дней. Несмотря на вышеизложенное, если в течение трех (3) недель с даты размещения заказа Дистрибъютор узнает о грядущей задержке на срок более шестидесяти (60) дней от оговоренной даты поставки, Дистрибъютор будет иметь право отмены этого заказа в течение 5 (пяти) рабочих дней после получения такого извещения от «ABC». |
| 7.5 The payment by Distributor of an order accepted by ABC shall be performed according to the payment terms, as indicated in the Supply Contract in effect for the corresponding season. All payments for Products shall be in U.S. dollars or in Euros, as agreed upon by the parties. Responsibility of ABC for delaying shipments and responsibility of the Distributor for non-payment in time shall be indicated in the respective Supply Contract. | 7.5 Оплата Дистрибьютором заказа, утвержденного компанией «ABC», производится в соответствии с условиями оплаты согласно Договору Поставки, действующему в соотвествующем сезоне. Все платежи за Товары должны производиться в долларах США, либо в Евро, в соответствии с договоренностью между сторонами. Ответственность ABC за задержку поставок и ответственность Дистрибьютора за несвоевременную оплату должны быть указаны в соответствующем Договоре поставки. |
| 7.6 In each order acknowledgment, ABC will give Distributor an estimated shipping date. ABC will make reasonable efforts to meet that estimated shipping date. Consequences of the delay in shipment by ABC and terms of delivery will be indicated in the respective Supply Contract. Products not shipped by ABC within thirty (30) days of an original shipping date will count against the minimum purchase requirement for the year in which the timely shipment would have fallen. | 7.6 В каждом подтверждении заказа «ABC» будет сообщать Дистрибьютору ориентировочную дату поставки. «ABC» предпримет разумные усилия для соблюдения указанной ориентировочной даты поставки. Последствия задержки отгрузки «ABC» и условия поставки будут указаны в соответствующем Договоре поставки. Товары, не отгруженные «ABC» в течение тридцати (30) дней после первоначально запланированной даты отгрузки, засчитываются во исполнение минимального плана закупок того года, в течение которого должна была произойти своевременная поставка. |
| 7.7 ABC will make every reasonable effort to ship orders in time. In the event of late shipmentABC will consult with Distributor on each order and make joint decision on whether air shipment is necessary. At Distributor’s request made in its purchase order, ABC will, on Distributor’s behalf, choose a carrier and arrange for transport of the goods during shipment on a Freight Collect basis. | 7.7 «ABC» предпримет все разумные усилия для своевременного исполнения заказов. В случае задержки поставки, «ABC» будет консультироваться с Дистрибьютором по каждому заказу для принятия совместного решения относительно необходимости поставки авиатранспортом. По запросу Дистрибъютора, сделанному в заказе на приобретение, «ABC», действуя от имени Дистрибъютора, выберет перевозчика и обеспечит перевозку Товаров на условиях «фрахт оплачивается грузополучателем в месте назначения». |
