Insurance

The Seller shall insure the goods delivered under the present contract on CIF-terms against regular marine risks with (an insurance company) in accordance with the Goods Transportation Insurance Regulations provided by (an insurance company) for the invoice value of the goods.

The goods may be insured against other risks only on the instruction of the Buyer and at its own expense.

Insurance shall be done with a first class insurance company by the seller and at its own expense upon such terms that the buyer shall be entitled to claim directly from the insurance company and provide the buyer with the Insurance Policy or other evidence of insurance cover on the door-to-door terms against usual risks, including damage to the goods caused by breakage, theft of the whole package or of its parts, or the whole packages non-delivery, as specified above irrespective of percentage of such damage. Insurance shall be done for the total value of the goods plus 15 per cent.

Once the contract has been signed, all the previous negotiations, correspondence, and agreements reached shall be considered null and void. Neither party has the right to assign its rights and obligations under the contract to a third party without a written consent hereto of the other party hereof.

The seller is to secure at its own expense all export licenses and permits required for exporting the goods hereunder to the country of destination.

Any amendments and addenda to the present contract shall be valid only if made in writing and signed by the representatives of both parties duly authorized thereto.

The present contract is made up in two copies in English and Russian.

Все сборы, включая комиссию бан­ков, портовые и доковые налоги и таможенные расходы на территории страны продавца, связанные с ис­пользованием настоящего контракта, оплачиваются продавцом за его счет.

Получение экспортных лицензий, если таковые потребуются, является обязанностью продавца.

С момента подписания настояще­го контракта все предыдущие переговоры и связанная с ними переписка теряют силу.

Ни одна из сторон не вправе пе­редавать свои права и обязанности по контракту третьей стороне без письменного на то согласия другом стороны. Продавец и покупатель до­говорились о нижеследующем: в случае продажи продавцом другому внешнеторговому объединению товара, закупленного по настояще­му контракту, по ценам ниже цен, указанных в данном контракте, продавец обязу­ется соответственно скорректировать цены настоящего контракта.

Продавец обязан не позднее, чем через 1,5 месяца после подписания контракта выслать покупателю и каждому грузополучателю по два экземпляра альбома-каталога. Альбомы-каталоги должны содержать фотографии закупленных товаров с указанием артикулов, мо­делей и всех технических характе­ристик, обмерных данных с прило­жением образцов тканей и их рас­цветок.

Продавец гарантирует покупате­лю, что поставленный им товар сво­боден от любых прав третьих лиц или претензий, касающихся интеллектуальной соб­ственности.

В случае, если покупателю и/или его клиентам будут предъявле­ны третьими лицами какие-либо пре­тензии и/или иски, основанные на нарушении их прав промышленной или иной интеллек­туальной собственности, продавец обязан урегулировать такие претен­зии и/или иски за свой счет, а также возме­стить все убытки, включая расходы, понесенные покупателем и/или его клиентами.

Покупатель должен в разумный срок после получения им информации о предъявляемых к нему и/или его клиентам претензиях и/или исках подобного рода известить о них продавца.

Настоящий контракт составлен в двух экземплярах, причем оба эк­земпляра имеют одинаковую силу.

Иные условия

       Получение лицензии на импорт возлагается на покупателя. В случае неполучения лицензии на импорт в течение 3 (трех) месяцев со дня подписания контракта продавец имеет право аннулировать настоящий контракт без каких-либо обязательств с его стороны.

       О получении лицензии на импорт покупатель обязан немедленно известить продавца.

       Ни одна из сторон не имеет права передать какому-либо третьему лицу права и обязанности по настоящему контракту без письменного согласия на то другой стороны.

       Все изменения и дополнения к настоящему контракту действительны лишь в том случае, если они совершены в письменной форме и подписаны обеими сторонами.

       Все расходы и сборы, включая таможенные сборы и пошлины, а также сборы по заключению и исполнению настоящего контракта, взимаются на территории, указанной в контракте, за счет продавца, а за пределами указанной территории – за счет покупателя.

       После подписания настоящего контракта все предыдущие переговоры и соответствующая переписка теряют силу.

       Настоящий контракт составлен на русском и английском языках, при этом оба текста имеют одинаковую силу.

       Все приложения к настоящему контракту являются его неотъемлемой частью.
