The History of Franchising

Franchising began back in the 1850's when Isaac Singer invented the sewing machine. In order to distribute his machines outside of his geographical area, and also provide training to customers, Singer began selling licenses to entrepreneurs in different parts of the country.

In 1955 Ray Kroc took over a small chain of food franchises and built it into today's most successful fast food franchise in the world, now known as McDonald's. McDonald's currently has the most franchise units worldwide of any franchise system.

Today, franchising is helping thousands of individuals be their own boss and own and operate their own business. Franchising allows entrepreneurs to be in business for themselves, but not by themselves. The products, services, and business operations have already been established.

Contracts

A contract is an agreement between two people for some type of service or product or to exchange something of value.

Contract is a promise enforceable by law. If one of the parties fails to keep the promise, the other has the right to legal recourse.

Contracts have three elements: an offer, acceptance, and consideration. A contract begins with an offer. An offer is any words or behavior that shows that the person wants to enter into a contract. Example: Chuck says to his neighbor Bill: Will you paint my house for $1,000.00? The person who makes the offer is called the offeror.

The next step in the contract process is the acceptance. An important thing to remember is that only the person who was given the offer can accept the offer. This person who has the power to accept the offer is called the offeree. So in our example only Bill could accept the offer to paint Chuck's house. The other neighbor, Ed, couldn't accept the offer. The offeree may accept the offer by a promise to perform under the contract. In addition, the two parties must agree exactly to the terms of the contract. This is called mutual agreement. If the person accepting has changed any of the terms of the contract it is a counter offer. So in our example if Bill says he will paint the house for $1,200.00 that would be a counteroffer and now Chuck would have the power to accept Bob's counteroffer.

The final piece of a contract is consideration. Every contract must have consideration. Consideration is something of value that the parties have given up to each other to fulfill the contract. In our example, Bill is giving up his time and labor to paint the house. The homeowner is giving up $1,000.00. Another way used to describe consideration is that both sides in a contract get some type of benefit. Bob is getting the $1,000.00 and the homeowner is getting a freshly painted house.
