Assignee receives exactly the same contractual rights and duties as the assignor — no more and no less.
To protect newly acquired rights, the assignee should promptly notify the obligator of an assignment. The obligor is the debtor — the one who owes the money or other obligation. This notification may be done orally or in writing. Until notified, the obligor has no reason to assume that the contractual obligations have been changed and may continue to pay the original creditor. After notification, however, the obligor is liable to the assignee for performance.
In making an assignment, the assignor does not promise to make good if the obligor fails to perform, unless this is specially required by the assignment. However, the assignor does guarantee that there is a right to assign, and that the assigned right is legally enforceable.
