| 8.1 All Products are warranted to Distributor in accordance with ABC’s standard written warranty. This warranty is in lieu of all other warranties or obligations express or implied. | 9.1 Within thirty (30) days after the conclusion of the calendar half-year during the Term, Distributor shall deliver to ABC a sales report containing the total gross volume of Products sold and revenues received from such sales by Distributor during the preceding half. | 9.1 В течение тридцати (30) дней после завершения календарного полугодия в течение Срока действия настоящего Договора Дистрибьютор должен представлять «ABC» отчет о продажах с указанием общего валового объема продажи Товаров и выручки Дистрибьютора от реализации таких Товаров за истекшее полугодие. |
| 9.2 Within thirty (30) days after the conclusion of each calendar half-year during the Term, Distributor shall provide ABC with a detailed report showing Distributor’s inventory as of the last day of the half. | 9.2 В течение тридцати (30) дней после завершения календарного полугодия в течение Срока действия настоящего Договора Дистрибьютор должен представлять «ABC» подробный отчет о запасах товаров Дистрибьютора по состоянию на последний день полугодия. |
| 9.3 Within sixty (60) days after the conclusion of any calendar year in which this Agreement remains in effect, Distributor shall deliver to ABC an annual sales report setting forth Distributor’s total sales in units sold and revenue earned, with such information segregated by apparel model, name and number. Such report shall also set forth Distributor’s advertising and promotion expenditures during the calendar year, including an item by item breakdown. | 9.3 В течение шестидесяти (60) дней после окончания любого календарного года, в течение которого настоящий Договор остается в силе, Дистрибьютор должен предоставлять «ABC» годовой отчет о продажах с указанием общего объема реализованных Дистрибьютором товаров, с указанием отдельных единиц товара и суммами полученной выручки и с разбивкой такой информации по моделям, наименованиям и номерам продукции. В таком отчете также должны указываться рекламные расходы Дистрибьютора за календарный год с постатейной разбивкой. |
| 9.4 On or before January 30 and July 30 of each year during the Term, Distributor shall provide ABC with a sales forecast by product code number and by month stating the quantity of ABC apparel Distributor reasonably expects to order from ABC during the ensuing 12-month period. | 9.4 Не позднее 30 января и 30 июля каждого года в течение Срока действия настоящего Договора Дистрибьютор должен предоставлять «ABC» прогноз продаж (по кодам товаров и по месяцам) с указанием количества предметов одежды «ABC», которые Дистрибьютор обоснованно рассчитывает заказать у «ABC» в течение наступающего 12-месячного периода. |
| 9.5 Within 90 days after the conclusion of any fiscal year during the Term of the Agreement, Distributor shall provide ABC with an annual financial report. | 9.5 В течение 90 дней после окончания финансового года в течение Срока действия настоящего Договора Дистрибьютор должен предоставлять «ABC» годовой финансовый отчет. |
| 10. Taxes, Duties, Import Permits. | 10. Налоги и сборы. Разрешения на ввоз Товаров. |
| 10.1 Distributor shall have the sole responsibility to pay all import duties, fees, taxes and other charges levied by government authorities in the Territory upon, or in connection with, any transaction covered by this Agreement, including without limitation taxes on sales, use, transactions or inventory, and value-added taxes. | 10.1 Дистрибьютор единолично отвечает за оплату всех ввозных пошлин, налогов и иных сборов, налагаемых государственными органами Территории на/или в связи с любой операцией, предусмотренной настоящим Договором, в том числе, не ограничиваясь этим, любых налогов с продаж, на использование, на операции или на товарно-материальные запасы, а также НДС. |
| 10.2 If Distributor fails to pay any taxes when due, Distributor shall indemnify ABC for any taxes, interest, or penalties that may become due as a result of such failure. | 10.2 Если Дистрибьютор не уплатит в срок какие-либо причитающиеся налоги, Дистрибьютор возместит «ABC» любые налоги, проценты или штрафы, которые могут подлежать уплате в результате такой неуплаты. |
| 10.3 Distributor shall have the sole responsibility to obtain all permits, licenses and approvals from government authorities in the Territory necessary to import and sell Products in the Territory or to return any Products to ABC. | 10.3 Дистрибьютор единолично отвечает за получение всех разрешений, лицензий и одобрений со стороны государственных органовТерритории, необходимых для ввоза и реализации Товаров на Территории или для возврата каких-либо Товаров в «ABC». |
