Provisions for power and authority of manager to procure loans and make pledges

The Manager shall have full power and authority to make advances or to procure loans at such rates of interest, for such amounts, and on such terms as he may deem best. The Manager may secure any such loans in such manner as from time to time they may deem expedient, either by pledge of any or all of the securities owned by the Joint Ventures or any or all of the obligations of the Subscribers or both, or in any other manner and upon such terms as they shall deem expedient. He may for the benefit of the Joint Venture dispose of such securities or obligations of the Subscribers, and of any interest or right of the Subscribers or any other assets of the Joint Venture to any other corporation or corporations, syndicates or individuals upon the terms and conditions herein stated.

Provisions of compensation of Joint Venture manager
